Associate Corporate Counsel (State Licensed)

Job Summary

Supporting the Legal team in a remote environment, the full-time Associate Corporate Counsel (State Licensed) will manage corporate governance, commercial contracting, and employment legal matters while providing comprehensive legal support across various functions.

Key responsibilities

• Assist with corporate governance and transactional matters, including drafting resolutions and managing corporate structures
• Draft, review, and negotiate commercial agreements, advising internal stakeholders on contract interpretation and compliance
• Update and maintain public-facing terms of service and related policies, advising product and engineering teams on legal issues

Required qualifications

• 2+ years of experience in a law firm and/or technology company with a corporate or transactional focus
• J.D. from a well-regarded law school and active bar membership in at least one state
• Knowledge of software and technology
• Strong drafting and negotiating skills with a practical, business-oriented approach
• Exceptional organizational skills and ability to manage multiple projects autonomously
