Associate Counsel - Licensed Attorney

Job Summary

Supporting a broad range of corporate, securities, transactional, and governance matters, the remote Associate Counsel - Licensed Attorney will provide legal advice, assist with compliance, and manage M&A transactions in a dynamic environment.

Key responsibilities

• Support corporate governance matters, including drafting board materials and maintaining corporate records
• Assist with securities law matters, including periodic reporting and compliance with NYSE/Nasdaq listing standards
• Review, draft, and negotiate a variety of commercial agreements and support strategic corporate initiatives

Required qualifications

• J.D. from an accredited law school; admitted and in good standing with at least one U.S. state bar
• 2-3 years of substantive experience in corporate law, securities, or mergers & acquisitions at an AM Law 100 firm or in-house at a NYSE or Nasdaq-listed company
• Strong drafting, analytical, and organizational skills
• Ability to prioritize and manage multiple projects with minimal oversight
• Demonstrated initiative, resourcefulness, and sound business judgment
