California Licensed Contract Paralegal

Job Summary

Seeking a California Licensed Contract Paralegal, this part-time temporary-to-hire position will independently manage substantive corporate transactions and compliance projects within a prestigious law firm's Corporate Practice Group, offering a hybrid work environment in Los Angeles.

Key responsibilities:

• Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
• Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
• Prepare drafts and execute Section 16 filings, utilizing SEC EDGAR Next and conducting Blue Sky research and filings

Required qualifications:

• 10+ years of paralegal experience specializing in corporate law
• Direct experience with equity management tools like Carta and Pulley, and electronic data rooms such as HighQ and Box
• Proven ability to manage large volumes of data and operate with minimal supervision
• Bachelor's degree or Paralegal Certificate; California Paralegal Requirements must be met
• Exceptional verbal and written communication skills for high-profile client interaction
