Job Summary
Seeking a California Licensed Corporate Attorney, the full-time Director of Corporate, M&A and Securities will lead M&A and strategic transactions, manage corporate governance and securities law matters, and collaborate with senior management in a dynamic, remote environment.
Key responsibilities
- Lead all M&A and strategic transactions, serving as the primary legal advisor throughout the deal lifecycle
- Advise on corporate governance and securities law matters, ensuring compliance with regulatory requirements
- Manage outside counsel and partner cross-functionally to facilitate seamless deal execution and risk mitigation
Required qualifications
- Minimum 12 years of experience in corporate, public securities, and M&A law, with significant hands-on experience in a top-tier law firm or in-house legal department
- Deep expertise in M&A transactions, including cross-border deals and post-merger integration
- Strong background in public-company securities and corporate governance matters, including SEC reporting and compliance
- Experience with equity compensation plan administration and related securities law compliance
- JD degree or equivalent; admitted to practice in at least one U.S. jurisdiction
