Job Summary
Serving as a trusted legal advisor, the full-time California Licensed Corporate Attorney will manage complex corporate and securities matters, lead M&A transactions, and provide guidance on executive compensation and equity-related issues while working remotely.
Key responsibilities
- Deliver practical legal solutions to Corporate Development, Finance, and Investor Relations on high-impact matters
- Lead M&A and strategic transactions from diligence through closing, including drafting agreements and managing outside counsel
- Advise on corporate and securities law matters, including SEC filings and compliance with stock exchange requirements
Required qualifications
- Juris Doctor (JD) from an ABA-accredited law school
- Active membership in good standing with at least one U.S. state bar
- 15+ years of relevant experience, including in-house and major law firm experience
- Experience with corporate law, governance standards, and strategic transaction documentation
- Familiarity with equity compensation plans and executive compensation matters
