Job Summary

A company is looking for a Corporate Counsel, M&A.

Key Responsibilities

• Advise and execute on M&A transactions, including due diligence, structuring, drafting, negotiating, and closing acquisition agreements
• Support the development and implementation of compliance and ethics programs in collaboration with Compliance and HR teams
• Oversee corporate governance and compliance matters for domestic and international subsidiaries

Required Qualifications

• J.D. degree from an accredited law school and admission to at least one U.S. jurisdiction (California preferred)
• 5+ years of M&A experience, with significant law firm or in-house experience
• Interest in corporate compliance and ethics, with a willingness to develop training programs
• High level of initiative, flexibility, and adaptability to meet various challenges
• Excellent business judgment and capacity to make decisions and provide advice
