Job Summary

Seeking a California Licensed Corporate Counsel, the full-time remote Lead Counsel, Corporate will advise on corporate legal matters, focusing on securities law disclosure, SEC filings, and corporate governance while collaborating with senior leadership and board members.

Key responsibilities:

• Advise stakeholders on corporate legal matters, particularly regarding securities law disclosure and compliance
• Support board committee processes, including preparation of meeting materials and resolutions
• Engage in corporate governance and treasury support, partnering with senior leadership on board matters

Required qualifications:

• J.D. with strong academic credentials and significant experience as a senior in-house lawyer or law firm partner
• Member of the California Bar or eligible for Registered In-House Counsel registration
• Minimum 12 years of experience in corporate matters, preferably in a high-growth company
• Extensive knowledge of the Securities Act and Exchange Act
• Experience with M&A and corporate transactions in a deal-active environment
