California Licensed Corporate Paralegal

Job Summary

To support a prestigious law firm, the hybrid Corporate Paralegal Specialist will independently manage substantive transactions, compliance projects, and cap table management while collaborating with attorneys across multiple locations.

Key responsibilities

• Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
• Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
• Prepare drafts and execute Section 16 filings, utilizing SEC EDGAR Next and conducting comprehensive Blue Sky research

Required qualifications

• 10+ years of paralegal experience specializing in corporate law with knowledge of relevant regulations and codes
• Hands-on experience with equity management tools like Carta and Pulley, and electronic data rooms such as HighQ and Box
• Ability to manage large volumes of data and operate independently with judgment akin to a junior associate
• Bachelor's degree (preferred) or a Paralegal Certificate, with California Paralegal Requirements met for candidates based in California
• Exceptional verbal and written communication skills for interfacing with high-profile clients and partners
