California Licensed Corporate Paralegal

Job Summary

To support a prestigious law firm, the contract-to-perm California Licensed Corporate Paralegal will independently manage substantive transactions, compliance projects, and capitalizations in a hybrid work environment.

Key responsibilities

• Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
• Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
• Assist with the formation of corporations and LLCs, draft by-laws, and manage data rooms and document control

Required qualifications

• 10+ years of paralegal experience specializing in corporate law
• Direct experience with equity management tools like Carta and Pulley
• Proficient in electronic data rooms such as HighQ and Box
• Bachelor's degree or Paralegal Certificate preferred
• California Paralegal Requirements must be met for California-based candidates
