Job Summary
To support a prestigious law firm, the contract-to-perm California Licensed Corporate Paralegal will independently manage substantive transactions, compliance projects, and cap table maintenance in a hybrid work environment across multiple office locations.
Key responsibilities
- Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
- Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
- Prepare drafts and execute Section 16 filings, conduct Blue Sky research, and assist with entity formation and maintenance
Required qualifications
- 10+ years of paralegal experience specializing in corporate law, with knowledge of relevant securities regulations
- Direct experience with equity management tools like Carta and Pulley, and electronic data rooms such as HighQ and Box
- Ability to operate autonomously and manage complex data with minimal supervision
- Possession of a Bachelor's degree or Paralegal Certificate, with compliance to California Paralegal Requirements
- Exceptional verbal and written communication skills for interacting with high-profile clients and stakeholders
