California Licensed Corporate Paralegal

Job Summary

To support a prestigious law firm, the contract-to-perm California Licensed Corporate Paralegal will independently manage substantive transactions, compliance projects, and corporate governance tasks in a hybrid work environment across various office locations.

Key responsibilities

• Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
• Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
• Assist with the formation of corporations and LLCs, draft by-laws, and manage data rooms and document control

Required qualifications

• 10+ years of paralegal experience specializing in corporate law
• Direct experience with equity management tools like Carta and Pulley, and compliance technology such as SEC EDGAR Next
• Proven ability to manage large volumes of data and operate with independent judgment
• Bachelor's degree or Paralegal Certificate; California Paralegal Requirements must be met
• Exceptional verbal and written communication skills for high-profile client interactions
