Job Summary
To support a prestigious law firm, the temporary-to-hire California Licensed Corporate Paralegal will manage substantive transactions, maintain compliance projects, and execute corporate legal documents in a flexible hybrid work environment.
Key responsibilities
- Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
- Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
- Prepare drafts and execute Section 16 filings, utilizing SEC EDGAR Next and conducting Blue Sky research and filings
Required qualifications
- 10+ years of paralegal experience specializing in corporate law, with knowledge of the Securities Act of 1933 and California/Delaware Corporations Codes
- Hands-on experience with equity management tools like Carta and Pulley, and electronic data rooms such as HighQ and Box
- Ability to manage large volumes of data and operate with expertise akin to a junior associate
- Bachelor's degree or Paralegal Certificate; California-based candidates must meet California Paralegal Requirements
- Exceptional verbal and written communication skills for interfacing with high-profile clients and managing partners
