Job Summary
To support a prestigious law firm, the temporary-to-hire California Licensed Corporate Paralegal will independently manage substantive transactions, compliance projects, and cap table management in a hybrid work environment.
Key responsibilities
- Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
- Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
- Prepare drafts and execute Section 16 filings, conduct comprehensive Blue Sky research, and assist with entity formation and maintenance
Required qualifications
- 10+ years of paralegal experience specializing in corporate law with a deep understanding of relevant regulations
- Direct experience with equity management tools like Carta and Pulley, and electronic data rooms such as HighQ and Box
- Proven ability to manage large volumes of data and operate with a high level of autonomy and independent judgment
- Possession of a Bachelor's degree or Paralegal Certificate, with California candidates meeting all Paralegal Requirements
- Exceptional verbal and written communication skills for high-profile interactions
