Job Summary
To support a prestigious law firm, the temporary-to-hire California Licensed Corporate Paralegal will independently manage substantive transactions, compliance projects, and cap table management in a hybrid work environment based out of Los Angeles.
Key responsibilities
- Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
- Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
- Prepare drafts and execute Section 16 filings and conduct comprehensive Blue Sky research and filings
Required qualifications
- 10+ years of paralegal experience specializing in corporate law
- Direct experience with equity management tools like Carta and Pulley, and electronic data rooms like HighQ and Box
- Proven ability to manage complex data and operate independently with a level of expertise akin to a junior associate
- Bachelor's degree or Paralegal Certificate; California Paralegal Requirements must be met
- Exceptional verbal and written communication skills for interfacing with high-profile clients and managing partners
