California Licensed Corporate Paralegal

Job Summary

To support a prestigious law firm, the contract-to-permanent California Licensed Corporate Paralegal will manage substantive transactions, maintain compliance projects, and execute corporate legal documents in a hybrid work environment.

Key responsibilities

• Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
• Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
• Prepare drafts and execute Section 16 filings, conduct comprehensive Blue Sky research, and assist with entity formation and maintenance

Required qualifications

• 10+ years of paralegal experience specializing in corporate law with expertise in corporate capitalization and relevant securities regulations
• Hands-on experience with equity management tools like Carta and Pulley, and electronic data rooms such as HighQ and Box
• Ability to operate with minimal supervision, demonstrating independent judgment and expertise akin to a junior associate
• Possession of a Bachelor's degree (preferred) or a Paralegal Certificate, with adherence to California Paralegal Requirements
• Exceptional verbal and written communication skills for interacting with high-profile clients and managing partners
