California Licensed Corporate Paralegal

Job Summary

To support a prestigious law firm, the hybrid Corporate Paralegal Specialist will independently manage substantive transactions, compliance projects, and cap table management while operating within a dynamic Corporate Practice Group.

Key responsibilities

• Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
• Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
• Prepare drafts and execute Section 16 filings, utilizing SEC EDGAR Next and conducting Blue Sky research and filings

Required qualifications

• 10+ years of paralegal experience specializing in corporate law, with a deep understanding of relevant corporate regulations
• Hands-on experience with equity management tools like Carta and Pulley, and electronic data rooms such as HighQ and Box
• Ability to manage large volumes of data and operate with a level of expertise akin to a junior associate
• Possession of a Bachelor's degree (preferred) or a Paralegal Certificate, meeting California Paralegal Requirements
• Exceptional verbal and written communication skills for interfacing with high-profile clients and managing partners
