Job Summary
Supporting the distributed energy business, the full-time California Licensed M&A Counsel will provide transaction support for commercial, community, and industrial solar and storage project acquisitions, assist with due diligence, and collaborate on project development and financing strategies.
Key responsibilities
- Provide support on the execution of M&A transactions, including drafting and negotiating Membership Interest Purchase Agreements (MIPAs)
- Conduct legal due diligence to identify risks in solar and battery energy storage portfolios
- Collaborate with project development and finance teams to negotiate key development agreements and manage external counsel
Required qualifications
- 3+ years of experience in M&A transactions
- Strong background in renewable energy (solar/storage) M&A and/or project development work
- JD from a top law school preferred
- Membership in at least one state bar
- Top law firm training preferred
