California Licensed M&A Counsel

Job Summary

Supporting the distributed energy business, the full-time California Licensed M&A Counsel will provide transaction support for commercial, community, and industrial solar and storage project acquisitions, assist with due diligence, and collaborate on project development and financing strategies.

Key responsibilities

• Provide support on the execution of M&A transactions, including drafting and negotiating Membership Interest Purchase Agreements (MIPAs)
• Conduct legal due diligence to identify risks in solar and battery energy storage portfolios
• Collaborate with project development and finance teams to negotiate key development agreements and manage external counsel

Required qualifications

• 3+ years of experience in M&A transactions
• Strong background in renewable energy (solar/storage) M&A and/or project development work
• JD from a top law school preferred
• Membership in at least one state bar
• Top law firm training preferred
