Job Summary

Providing legal support for M&A transactions, the full-time California Licensed M&A Counsel will assist Senior Counsel in executing project acquisitions and dispositions, conducting due diligence, and collaborating with project development and finance teams, with the possibility of remote work for exceptional candidates.

Key responsibilities

• Provide support on the execution of M&A transactions, including drafting and negotiating Membership Interest Purchase Agreements (MIPAs)
• Assist in conducting legal due diligence to identify risks in solar and battery energy storage portfolios
• Collaborate with project development and finance teams to negotiate key development agreements and streamline transaction execution

Required qualifications

• 3+ years of experience in M&A or project development
• Top law firm training preferred
• Strong background in renewable energy (solar/storage) M&A
• JD from a top law school preferred
• Membership in at least one state bar
