Job Summary
To support a prestigious law firm, the contract-to-perm California Licensed Paralegal Specialist will independently manage substantive transactions and compliance projects in a hybrid work environment, utilizing advanced corporate knowledge and specialized software to execute corporate legal documents and maintain capitalization tables.
Key responsibilities
- Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
- Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
- Assist with the formation of corporations and LLCs, draft by-laws, and maintain physical and electronic minute books
Required qualifications
- 10+ years of paralegal experience specializing in corporate law
- Hands-on experience with equity management tools like Carta and Pulley, and electronic data rooms such as HighQ and Box
- Possess a Bachelor's degree (preferred) or a Paralegal Certificate
- Must meet all California Paralegal Requirements
- Exceptional verbal and written communication skills for interfacing with high-profile clients and managing partners
