California Licensed Paralegal Specialist

Job Summary

To support a dynamic Corporate Practice Group, the contract-to-permanent California Licensed Paralegal Specialist will independently manage substantive transactions, compliance projects, and cap table management in a hybrid work environment, collaborating across various offices while working standard hours.

Key responsibilities

• Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
• Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
• Prepare drafts and execute Section 16 filings, conduct Blue Sky research, and assist with entity formation and maintenance

Required qualifications

• 10+ years of paralegal experience specializing in corporate law, with a deep understanding of relevant securities regulations
• Hands-on experience with equity management tools such as Carta and Pulley, as well as electronic data rooms like HighQ and Box
• Proven ability to manage large volumes of data and operate autonomously with a high level of expertise
• Bachelor's degree or Paralegal Certificate; California-based candidates must meet all California Paralegal Requirements
• Exceptional verbal and written communication skills for interacting with high-profile clients and stakeholders
