California Licensed Paralegal Specialist

Job Summary

To support a prestigious law firm, the contract-to-perm California Licensed Paralegal Specialist will independently manage substantive corporate transactions, compliance projects, and cap table maintenance in a hybrid work environment.

Key responsibilities

• Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
• Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
• Assist with the formation of corporations and LLCs, drafting by-laws and maintaining minute books

Required qualifications

• 10+ years of paralegal experience specializing in corporate law
• Direct experience with equity management tools such as Carta and Pulley
• Proven ability to manage large volumes of data and exercise independent judgment
• Bachelor's degree or Paralegal Certificate; California Paralegal Requirements must be met
• Exceptional verbal and written communication skills for high-profile client interactions
