Job Summary
California Licensed Securities Counsel, seeking a full-time attorney with at least 8 years of experience in debt and equity capital markets transactions to provide legal advice, manage regulatory compliance, and oversee securities filings.
Key Responsibilities:
- Lead and manage legal aspects of debt and equity capital markets transactions, including IPOs and private placements
- Oversee periodic reporting and regulatory filings, coordinating with outside counsel as necessary
- Advise on securities compliance and corporate governance matters, ensuring adherence to applicable laws and regulations
Required Qualifications:
- J.D. from a top accredited law school with strong academic credentials
- Minimum of 8 years of experience as a capital markets attorney at a large law firm
- Deep experience in debt and equity financing and related reporting requirements
- Strong understanding of U.S. securities laws and corporate governance issues
- Previous in-house experience is a plus, but not required
