California Licensed Senior Corporate Counsel

Job Summary

A company is looking for a Senior Corporate Counsel to join their Legal team, focusing on Mergers & Acquisitions and corporate matters.

Key Responsibilities

• Lead and support M&A transactions through all stages, including deal structuring and execution
• Draft, review, and negotiate transaction documents and provide strategic legal advice to senior management
• Advise on legal and regulatory issues related to compliance matters impacting M&A transactions

Required Qualifications

• J.D. degree from an accredited law school and admission to at least one U.S. jurisdiction
• 7+ years of legal experience, including significant experience in a big law firm and corporate settings
• In-house experience with U.S. public companies, particularly in M&A and strategic investments
• Experience with entity management and corporate transactions in the technology sector is strongly preferred
• Ability to manage multiple projects and collaborate cross-functionally
