California Licensed Senior Corporate Counsel

Job Summary

A company is looking for a Senior Corporate Counsel, M&A.

Key Responsibilities

• Serve as lead legal advisor on mergers, acquisitions, joint ventures, and other corporate transactions
• Draft, review, and negotiate transaction documents and provide strategic legal advice to senior management
• Partner with cross-functional teams on transaction planning and support corporate governance matters

Required Qualifications

• J.D. degree from an accredited law school and admission to at least one U.S. jurisdiction
• 7+ years of relevant legal experience, including in-house and law firm training
• Experience advising on M&A and strategic investments at a U.S. public company or complex private company
• Experience in the technology sector, particularly in AI infrastructure or related fields, preferred
• Experience with entity management for domestic and international subsidiaries strongly preferred
