California Licensed Transaction Counsel
Job Summary
Assisting with the origination, closing, and asset management of C-PACE financing transactions, the full-time remote California Licensed Transaction Counsel will draft agreements, perform legal diligence, and support capital market transactions as needed.
Key Responsibilities
- Draft commercial C-PACE financing and related agreements
- Perform legal diligence on C-PACE transactions, including reviewing various documents related to capital stacks and borrower organizations
- Track transaction tasks, parties, and key dates, communicating progress to the team
Required Qualifications
- Doctoral Degree in Law required
- 3+ years of law firm or in-house legal experience representing commercial real estate lenders
- Experience with Commercial Property Assessed Clean Energy (C-PACE) financing structures preferred
- Understanding of secondary market and securitization processes
- Experience structuring and negotiating work-outs and drafting forbearance agreements preferred
