Job Summary
As ODAIA's first dedicated legal hire, the full-time Senior Corporate Counsel will build the legal function from the ground up, focusing on negotiating and drafting enterprise agreements, managing legal compliance, and translating AI-governance obligations into internal policies, all while working remotely.
Key responsibilities
- Negotiate and draft enterprise SaaS, data licensing, and other agreements with pharmaceutical customers while developing templates for scalable contracting
- Collaborate with cross-functional teams to identify and mitigate legal risks, ensuring compliance with contractual obligations and emerging regulations
- Manage board resolutions, equity plan administration, and vendor agreements, knowing when to engage outside counsel for additional support
Required qualifications
- 5+ years of relevant experience with a J.D. or LL.B. and good standing with a Canadian provincial bar
- Familiarity with AI, machine learning, or legal technology sectors
- Strong skills in drafting and negotiating commercial agreements, including MSAs and DPAs
- A technical background or fluency in working with engineering teams is a plus
- Proven ability to thrive in a fast-paced environment while managing multiple high-stakes matters
