Job Summary

As the primary legal architect and strategic advisor, the full-time Capital Markets VP - NY Licensed will oversee corporate financing, securities compliance, and public market readiness initiatives while working in a hybrid environment from New York or several other specified states.

Key responsibilities

• Architect and execute legal strategies for capital markets transactions, including equity offerings and IPO readiness
• Ensure timely preparation and filing of SEC regulatory submissions, maintaining accuracy and compliance
• Direct corporate governance frameworks and advise on shareholder relations and compliance protocols

Required qualifications

• Juris Doctor (J.D.) degree from an accredited law school with an active U.S. law license
• 12+ years of experience in corporate finance and securities law from a top-tier law firm and in-house public company
• Proven experience managing the legal lifecycle of IPO processes and sophisticated debt issuances
• Expertise in SEC rules, corporate disclosure requirements, and corporate governance frameworks
• Strong ability to communicate complex regulatory information clearly to executives and board members
