Commercial Counsel - Licensed Attorney

Job Summary

To support a growing healthcare technology firm, the full-time Commercial Counsel - Licensed Attorney will manage complex commercial negotiations, draft and review various agreements, and ensure compliance with applicable data privacy laws while collaborating with cross-functional teams.

Key Responsibilities

• Draft, review, and negotiate technology contracts, including SaaS subscription agreements and vendor agreements, while driving standardization and mitigating risks
• Serve as an escalation point for complex deal issues and support internal stakeholders in closing negotiations
• Maintain a working understanding of privacy laws, including HIPAA, to guide negotiations involving personal health information

Required Qualifications

• JD and active bar membership in at least one U.S. state
• 5+ years of experience in a law firm or technology industry, focusing on complex transactions
• Solid understanding of corporate, commercial, and intellectual property law, particularly in technology-related agreements
• Demonstrated knowledge of applicable data privacy laws, including HIPAA
• Proven ability to influence and collaborate with cross-functional teams
