Commercial Counsel - State Licensed

Job Summary

Serving as a strategic legal advisor, the full-time Commercial Counsel - State Licensed will manage complex commercial negotiations, draft and review technology contracts, and ensure compliance with data privacy laws in a remote environment.

Key Responsibilities

• Draft, review, and negotiate technology contracts, including SaaS subscription agreements and vendor agreements, while driving standardization and mitigating legal risks
• Act as an escalation point for complex deal issues and collaborate cross-functionally to facilitate timely contract execution
• Maintain knowledge of applicable privacy laws, such as HIPAA, and advise on legal implications during negotiations

Required Qualifications

• JD and active bar membership in at least one U.S. state
• 5+ years of experience as a qualified lawyer in the technology industry or at a leading law firm
• Solid understanding of corporate, commercial, and intellectual property law, with experience in technology-related subscription agreements
• Demonstrated knowledge of data privacy laws, including HIPAA
• Proven ability to influence cross-functional teams and provide actionable legal guidance to executives
