Commercial Transaction Attorney

Job Summary

Supporting a growing SaaS business, the full-time Commercial Transaction Attorney will draft, review, and negotiate commercial agreements while collaborating with cross-functional teams to close complex transactions in a remote environment.

Key responsibilities

• Draft, review, and negotiate a variety of commercial agreements, including SaaS subscriptions and professional services agreements
• Lead negotiations of customer-facing agreements with a focus on SaaS and cloud offerings
• Advise on data privacy and security issues impacting commercial deals, including compliance with CCPA/CPRA and GDPR

Required qualifications

• J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar
• 5+ years of experience as a commercial or technology transactions attorney, particularly in SaaS or software licensing
• Demonstrated experience drafting and negotiating enterprise SaaS agreements and data processing agreements
• Strong working knowledge of CCPA/CPRA and GDPR in the context of commercial contracting
• Proven ability to partner effectively with Sales and cross-functional teams to close complex deals under tight timelines
