Job Summary
Leading the corporate legal function, the full-time remote Associate General Counsel, Corporate will manage board administration, oversee entity management, and support M&A transactions while ensuring compliance with corporate governance and public company readiness.
Key responsibilities
- Manage preparation for board and committee meetings, maintain corporate records, and advise on governance practices
- Oversee corporate structure and subsidiary governance, ensuring compliance with regulatory requirements across jurisdictions
- Lead legal due diligence for M&A transactions, negotiate transaction documents, and manage post-acquisition integration
Required qualifications
- JD degree with at least one active bar membership
- 10+ years of relevant experience, including time at a nationally-recognized law firm and experience with late-stage private and public companies
- Expertise in securities laws, corporate governance, M&A transactions, and SEC reporting requirements
- Experience in driving public company readiness and managing public company compliance
- Proven leadership and project management skills, with a strategic mindset that balances legal risk with business objectives
