Corporate Attorney - State Licensed

Job Summary

Supporting corporate governance and M&A transactions, the remote Corporate Attorney - State Licensed will manage due diligence, transaction documentation, and entity management while collaborating closely with senior leadership and legal teams.

Key responsibilities

• Support corporate M&A transactions, including due diligence and post-closing matters
• Assist with corporate governance matters, preparing board and shareholder documentation
• Draft, review, and negotiate corporate and commercial agreements while coordinating with internal teams and outside counsel

Required qualifications

• J.D. from an accredited law school and active license to practice law
• Approximately 4-7 years of relevant corporate legal experience
• Experience supporting M&A transactions and corporate governance matters
• Strong drafting, analytical, and organizational skills
• Experience managing paralegals and other reports is a plus
