Corporate Counsel

Job Summary

A company is looking for a Corporate Counsel to join its Legal team.

Key Responsibilities

• Draft and negotiate commercial contracts, including NDAs, MSAs, and vendor contracts
• Provide legal support on transactional, corporate governance, and compliance activities
• Advise on commercial initiatives and review key RFPs for legal compliance

Required Qualifications

• JD degree from an ABA accredited institution and active Bar membership
• 5+ years of experience, including at least 3 years in commercial contracting
• Familiarity with legal concepts such as intellectual property and indemnification
• Experience with technology or SaaS licensing is a plus
• Candidate must be based on the West Coast (Canada or U.S.)
