Corporate Counsel

Job Summary

As the Senior Director, Corporate Counsel, this full-time remote position will build the corporate legal function from the ground up, focusing on corporate governance, strategic transactions, and global expansion while reporting directly to the CLO.

Key responsibilities

• Design and implement a corporate governance framework to prepare for IPO readiness and manage legal workstreams for risk identification
• Act as lead legal counsel for M&A, joint ventures, and strategic investments, managing the full deal lifecycle
• Partner with Finance and Tax to lead international expansion efforts and manage corporate governance for global subsidiaries

Required qualifications

• J.D. with 6+ years of experience at a Tier 1 law firm and in-house at a high-growth technology company
• Proven experience navigating the transition from private to public, ideally with involvement in an IPO or major exit
• Deep expertise in corporate law, SEC reporting, and equity plan management
• Experience managing multinational corporate structures and understanding associated risks
• Strong ability to provide business-first legal advice and a passion for building new functions
