Corporate Counsel

Job Summary

To support corporate development efforts, the full-time Associate Counsel will lead M&A execution, manage legal aspects of acquisitions, and draft transaction documents while collaborating with cross-functional teams in a flexible work environment.

Key responsibilities

• Lead M&A execution by managing all legal aspects of acquisitions, divestitures, and strategic investments from LOI through closing
• Draft and negotiate transaction documents, including purchase agreements and ancillary documents
• Coordinate due diligence and advise on corporate structure and expansion for international markets

Required qualifications

• 4 to 8 years of experience in corporate law with significant M&A transaction experience
• Hands-on experience drafting and negotiating acquisition agreements and related documents
• Strong understanding of corporate governance and Delaware corporate law
• JD and admission to at least one U.S. state bar
• Ability to manage multiple workstreams in a fast-paced environment
