Corporate Counsel

Job Summary

Combining strong transactional execution with a genuine interest in AI, the full-time Corporate Counsel will manage venture financings, corporate governance, and equity administration while working remotely and contributing to the development of AI-enabled legal workflows.

Key responsibilities

• Support venture financings, secondary transactions, and corporate matters by drafting documents and coordinating with outside counsel
• Own transaction execution from signatures through closing sets and post-closing matters, ensuring accurate and organized corporate records
• Design AI-enabled legal workflows and build self-service tools to streamline recurring legal processes

Required qualifications

• Significant experience in venture capital financings, M&A, or similar corporate transactions
• Strong knowledge of corporate governance, entity management, and equity administration
• Exceptional organizational skills with the ability to independently drive matters from start to finish
• Genuine interest in AI, legal technology, and workflow design
• JD + 3 years of corporate counsel experience in law firm and in-house environments (preferred)
