Corporate Counsel - Active License

Job Summary

Providing practical legal guidance to support operational and business goals, the full-time Corporate Counsel - Active License will manage contract reviews, negotiate client and vendor agreements, and advise on employment-related matters while working remotely within the United States.

Key responsibilities:

• Review, draft, and negotiate Master Services Agreements (MSAs), Statements of Work (SOWs), and Non-Disclosure Agreements (NDAs)
• Provide legal review and guidance on Data Processing Agreements (DPAs) and vendor risk assessments
• Identify and mitigate legal, financial, and operational risks in contracts while collaborating across departments

Required qualifications:

• Juris Doctor (JD) from an accredited law school
• Active license to practice law in at least one U.S. jurisdiction
• 10+ years of experience in corporate or technology-focused legal practice
• Strong understanding of contract law, commercial terms, and risk management
• Familiarity with corporate governance and compliance practices
