Job Summary

A company is looking for a Principal Counsel, M&A and Corporate.

Key Responsibilities

• Lead strategic transactions, including M&A and corporate development activities, managing deals independently and providing real-time advice
• Own transaction-triggered disclosure and securities analysis, ensuring compliance with legal obligations and providing practical judgment
• Advise on governance implications of transactions, supporting Board materials and resolutions while ensuring adherence to corporate governance standards

Required Qualifications

• 15+ years of corporate and transactional law experience, with significant in-house experience at a tech or SaaS company
• Proven ability to advise senior leadership directly on high-stakes transactional decisions
• Experience running deals independently and managing outside counsel strategically
• Broad knowledge across corporate legal domains, comfortable handling transactions, securities, governance, and commercial law
• JD from an accredited law school and active bar membership in at least one U.S. jurisdiction
