Job Summary

To support corporate governance and SEC compliance, the full-time remote Assistant General Counsel, Corporate will manage SEC reporting, drive corporate governance initiatives, and serve as the primary drafter of proxy statements and related disclosure materials.

Key responsibilities
  • Own and drive the quarterly and annual SEC reporting cycle, including 10-K, 10-Q, and 8-K filings
  • Support the Board of Directors and its committees by preparing materials and drafting meeting minutes
  • Administer Marqeta's Insider Trading Policy and oversee compliance with SEC requirements related to equity programs
Required qualifications
  • J.D. degree and active membership in good standing in at least one U.S. state bar (California or New York preferred)
  • 10-15 years of legal experience focused on public company securities, SEC disclosure, and corporate governance
  • Substantial experience drafting SEC filings including proxy statements, 10-Ks, 10-Qs, and 8-Ks
  • Experience supporting a public company board of directors and its committees
  • Strong knowledge of insider trading rules, Section 16 compliance, and equity compensation disclosure
