Corporate Counsel, Securities Compliance
Job Summary
To support a leading publicly traded healthcare technology organization, the Senior Corporate Counsel, Corporate Governance & Securities will oversee corporate governance, SEC compliance, and securities reporting in a remote, 8-month contract position with minimal travel to Tempe, AZ.
Key responsibilities:
- Lead Board of Directors and committee governance activities, including preparation and review of Board materials
- Oversee SEC filings and manage insider trading compliance and related reporting matters
- Advise executive leadership on corporate governance, securities law, and regulatory developments
Required qualifications:
- Juris Doctor (JD) degree and active U.S. bar license
- 12+ years of corporate legal experience in a law firm and/or public company environment
- Extensive experience with SEC reporting and corporate governance
- Strong knowledge of SEC regulations, Nasdaq listing standards, SOX, and Dodd-Frank requirements
- Experience supporting Board matters and subsidiary governance
