Job Summary

A company is looking for a Senior Corporate Counsel.

Key Responsibilities
  • Draft, review, and revise SEC filings and manage annual meeting matters
  • Advise on securities law compliance, corporate governance, and public disclosures
  • Support corporate governance functions and assist with M&A and business development initiatives
Required Qualifications
  • J.D. degree from an accredited law school and member in good standing of at least one U.S. state bar
  • 5-7+ years of legal experience with a focus on securities law and public company governance
  • Deep knowledge of the '33 Act, '34 Act, SEC rules, and Nasdaq listing standards
  • Experience in similar in-house roles is a plus
  • Experience representing newly public or emerging growth companies is a bonus
