Corporate Counsel - State Licensed

Job Summary

A company is looking for a Corporate Counsel to join its legal team.

Key Responsibilities:

• Draft and negotiate various transaction agreements and manage the legal due diligence process
• Structure and execute complex transactions while managing legal and business risks
• Advise on corporate governance, securities law matters, and support post-acquisition integration

Required Qualifications:

• J.D. required and a member in good standing of at least one U.S. state bar
• 3-6 years of experience as a corporate attorney with a focus on M&A
• Experience with public and private M&A transactions and debt capital markets matters
• Strong understanding of regulatory compliance related to corporate governance and risk management
• Proven ability to collaborate effectively across functions and seniority levels
