Corporate Counsel - State Licensed

Job Summary

To support a growing legal team, the full-time Corporate Counsel - State Licensed will manage commercial contracts, drive corporate governance, and lead capital markets transactions in a remote environment.

Key responsibilities

• Own the commercial contract function by negotiating vendor agreements and maintaining templates and playbooks
• Drive corporate governance by managing board materials and supporting equity administration for IPO readiness
• Lead on capital markets transactions, supporting equity and debt financings and managing ongoing compliance

Required qualifications

• J.D. and active bar admission in at least one U.S. state
• 4-6 years of experience with depth in commercial contracts, corporate governance, capital markets, or M&A
• Demonstrated ability to independently own workstreams and make sound judgment calls
• Genuine interest in fintech or consumer finance, with a willingness to learn
• Comfort with AI-assisted legal workflows and familiarity with relevant tools is a plus
