Job Summary
To support a growing fintech practice, the full-time Corporate Counsel - State Licensed will manage commercial contracts, corporate governance, and capital markets transactions while working remotely and collaborating with cross-functional leaders.
Key responsibilities
- Own the commercial contract function, negotiating vendor agreements and maintaining templates and playbooks
- Drive corporate governance by managing board materials, consents, and corporate records in preparation for IPO
- Lead on capital markets transactions, supporting equity and debt financings from term sheet through closing
Required qualifications
- J.D. and active bar admission in at least one U.S. state
- 4-6 years of experience in commercial contracts, corporate governance, capital markets, M&A, or employment
- Demonstrated ability to independently manage workstreams and make sound judgment calls
- Strong communication skills to convey legal complexity to non-lawyers
- Genuine interest in fintech or consumer finance, with a willingness to learn
