Corporate Counsel - State Licensed
Job Summary
Seeking an experienced Corporate Counsel - State Licensed, the full-time remote position will manage legal aspects of acquisitions, strategic investments, and corporate transactions, while collaborating closely with Finance and Operations teams.
Key responsibilities
- Lead legal efforts for acquisitions and corporate transactions, including post-closing integration
- Serve as the primary legal partner to Finance and Operations on deal strategy and execution
- Support the company's fundraising activities and advise on securities law matters
Required qualifications
- J.D. and active membership in at least one U.S. State Bar
- 6+ years of relevant post-qualification legal experience at a major law firm or high-growth technology company
- Proven track record in drafting and negotiating M&A and investment documents
- Substantive experience with venture or growth-stage financings and related securities law
- Working knowledge of equity compensation and corporate governance
