Job Summary
Providing actionable legal advice on corporate transactions, the full-time Corporate Counsel - State Licensed will support M&A, SEC filings, and corporate governance matters in a remote environment.
Key responsibilities
- Support the Company's strategic transactions, including M&A and capital markets, while managing ongoing obligations from transaction documentation
- Assist with SEC filings and corporate governance matters, ensuring compliance with applicable laws and regulations
- Collaborate with cross-functional teams and outside counsel to provide practical legal support and advice on corporate and securities matters
Required qualifications
- Juris Doctor from an ABA-accredited law school and an active license to practice law in at least one US jurisdiction
- 4+ years of experience in corporate, securities, and/or M&A at a law firm and/or in-house
- Experience with SEC rules and regulations applicable to public companies, including periodic reporting requirements
- Strong project management skills and the ability to handle multiple matters simultaneously
- Experience in the technology or healthcare industries is a plus
