Job Summary
Leading corporate legal matters, the remote Director, Corporate Counsel, U.S. Licensed will manage corporate governance, mergers & acquisitions, and financing transactions while providing legal support for public company compliance and SEC filings.
Key responsibilities
- Provide legal counsel on corporate governance matters and prepare related documentation
- Oversee mergers & acquisitions, including due diligence and negotiation of transaction documents
- Support public company legal requirements, including SEC filings and disclosure considerations
Required qualifications
- Juris Doctor (JD) from an accredited U.S. law school and active license to practice in at least one U.S. jurisdiction
- 8-12 years of significant law firm and in-house experience with corporate and transactional matters
- Demonstrated experience in corporate governance and entity management
- Experience with mergers & acquisitions and complex corporate transactions
- Public company experience, including SEC reporting and disclosure compliance
