Job Summary
To support rapid growth, the full-time Senior Corporate Counsel - U.S. Licensed will manage financing and strategic transactions, M&A, and corporate governance while collaborating cross-functionally to prepare the company for IPO readiness in a remote work environment.
Key responsibilities
- Facilitate financing and strategic transactions, including equity and debt raises, from structuring through close
- Counsel on M&A and strategic transactions, including drafting and negotiating relevant documents
- Build the governance and compliance infrastructure to support public company readiness
Required qualifications
- JD from an accredited law school and active bar membership in good standing
- 3-9+ years of corporate, transactional, and securities law experience
- Experience with financing transactions, M&A, and corporate governance, preferably in-house
- Background in IPO readiness, with public company and SEC reporting experience being a plus
- Strong negotiation, drafting, and project management skills
