Job Summary

A company is looking for a Corporate Development Counsel.

Key Responsibilities
  • Structure, draft, and negotiate transaction documents for acquisitions, divestitures, and strategic investments
  • Lead and manage the legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
  • Serve as the primary legal advisor to the Corporate Development team and oversee outside counsel on M&A and investment transactions
Required Qualifications
  • Juris Doctor (J.D.) from an accredited law school with active state bar membership
  • At least 4 years of relevant legal experience focused on M&A, including drafting and negotiating complex agreements
  • Experience at a law firm in its M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
  • Strong understanding of corporate law, contract law, and securities law
  • Ability to manage multiple complex projects and work independently in a fast-paced environment
