Corporate Development Counsel

Job Summary

A company is looking for a Corporate Development Counsel.

Key Responsibilities

• Structure, draft, and negotiate transaction documents for acquisitions, divestitures, and strategic investments
• Lead and manage the legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders
• Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

Required Qualifications

• Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar
• At least 4 years of relevant legal experience focused on M&A, including drafting and negotiating complex transaction agreements
• Experience at a law firm in M&A/Corporate practice is preferred; in-house experience at a technology or high-growth company is a plus
• Expertise in corporate law, contract law, and securities law
• Demonstrated ability to manage multiple complex projects under tight deadlines
